YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOO THESE TERMS AND THAT YOU AGREE TO BE BOUNDED BY THEM TO THE EXTENT ALLOWABLE BY THE APPLICABLE LAWS. IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE CONTACT YOUR SEED PROVIDER REGARDING THE RETURN POLICY.

PRODUCT DESCRIPTION EXPRESS WARRANTY: Provider warrants that the seed or other products purchased from it conforms to the descriptions on the label within tolerances, if any, established by law.

LIMITATION OF LIABILITY: To the extent permitted under the applicable law, the remedy of Purchaser or any other person, (whether such loss results from breach of warranty, contract, tort, strict liability, or negligence) shall be limited solely and exclusively to the amount of the purchase price of the seed or other products or replacement of the seed or other products, at the election of Provider or its distributors or dealers. In no event shall provider, its distributors, or dealers, be liable for any consequential or incidental damages sustained by Purchaser or any other person.

PROMPT NOTICE OF CLAIM: Prompt notice by Purchaser or any other person must be given of any claim in order that an immediate inspection of the field(s), seed, or grain produced

from may be made. Failure to give prompt notice shall bar Purchaser or any other person of any legal remedy.

STATUE OF LIMITATIONS: Any action against Provider, its distributors, or dealers for the breach of this agreement, includes any warranties arising from it, must be commenced within six months after the cause of action accrues or be barred after such time. Where applicable, all required prerequisites to maintaining legal action must be complied with prior to initiating the legal action.

USE RESTRICTIONS AND LIMITED LICENSES: One or more of the parental lines used in producing this product and this product are proprietary to Pioneer Overseas Corporation ("POC"). Parental lines and this product may be U.S. Protected Varieties (see tag for additional information) and may also be protected under the laws of other countries. Export or transfer of possession may be prohibited. Purchaser agrees that this purchase is directed to, and Provider intends to supply, only hybrid seed. Purchaser agrees that it is not acquiring any rights from Provider or POC to use any parental line that may be unintentionally contained herein for purposes other than production of forage, or grain for feeding or processing.

One or more of the parental lines used in producing this product may constitute a trade secret. Purchaser agrees that it is granted a limited license under POC's trade secret rights to use any parental seed that might be unintentionally contained herein only for purposes of producing forage, or grain for feeding or processing. Purchaser further agrees, that under these trade secret rights, any parental seed, and the genetic material contained herein, is confidential and must be maintained in confidence.

One or more of the parental lines used in producing this hybrid and this hybrid are proprietary to Pioneer Overseas Corporation (“POC”). Parental lines and this hybrid may be protected by Variety Protection (PVP) laws in this or other countries. As a result, export to and/or import in certain countries, without POC's prior written consent, may be prohibited. Furthermore, Licensee specifically agrees that it is not acquiring any rights from POC to use the seed, plants or plant parts of any parental in be unintentionally contained herein for purposes other u production of forage or grain for feeding of processing. expressly agrees not to use any genetic engine including but not limited to genotyping, sequencing, or molecular analysis of any type, in connection with the seed, plants or plant parts of this hybrid or its progenies, for the purpose of discovering its parental lines or acquiring a genetic fingerprint therefrom.

SEVERABILITY: If any provision of this agreement is found to be invalid for any reason, the other provisions shall not be affected and shall remain in full force and effect.

ENTIRE AGREEMENT: By acceptance of the seed or other products, the Purchaser or any other person acknowledges that the foregoing terms are conditions of the purchase and constitute the entire agreement between the parties regarding warranty or other liabilities and the remedy, therefore. This agreement cannot be modified by any oral or other written agreement.
